TERMS OF SERVICE

1) Services

Sunwells provides home solutions and related services in Illinois. The scope, pricing, and timing for specific work will be described in estimates, work orders, or service agreements issued at the time of engagement. If there is a conflict between these Terms and a signed service agreement, the signed agreement controls for the conflicting terms.

2) Eligibility

You must be at least 18 years old and legally able to enter contracts. By engaging our services, you represent and warrant that you meet these requirements.

3) Customer Responsibilities

• Provide accurate, current, and complete information when requested and keep it up to date.
• Use our website and services only for lawful purposes and in accordance with these Terms.
• Provide safe access to the service location and comply with applicable laws and codes.

4) Estimates, Changes, and Scheduling

• Estimates: Non-binding unless expressly stated as a fixed price in writing.
• Change Orders: Scope changes may affect price and timeline and will be documented.
• Scheduling: Appointments are subject to availability, weather, parts, and site conditions.

5) Pricing, Invoices, and Payments

• Fees are due as specified in your invoice or service agreement. Unless stated otherwise, taxes and government charges are additional.
• Late or returned payments may incur reasonable fees as permitted by law.
• You agree not to make fraudulent chargebacks and to promptly resolve any billing disputes in good faith.

6) Cancellations & Rescheduling

You may cancel or reschedule in accordance with your service agreement or invoice terms. Sunwells may suspend or terminate work if you fail to pay when due, provide required access, or otherwise breach these Terms.

7) Communications Consent

By providing your phone number or email, you consent to receive service-related communications from Sunwells, including SMS, emails, and calls. Messaging frequency may vary. 8) Privacy

Your privacy is important to us. Our collection and use of personal information are described in our Privacy Policy. SMS consent is not shared with third parties.

9) Intellectual Property

All content, trademarks, logos, and materials on our website or provided in connection with our services are owned by Sunwells or its licensors and are protected by law. You may not use, copy, or distribute them without written permission.

10) Third-Party Services

We may use third-party providers (e.g., communications platforms) to deliver certain service functions. Their services may be subject to their own terms and privacy practices. Sunwells is not responsible for third-party outages or acts beyond our reasonable control.

11) Warranties & Disclaimers

Except as expressly stated in a written service agreement, services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Sunwells disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12) Limitation of Liability

To the fullest extent permitted by law, Sunwells will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. Sunwells’ total liability for any claim arising out of or relating to the services will not exceed the amount you paid to Sunwells for the services giving rise to the claim during the twelve (12) months preceding the event.

13) Indemnification

You agree to indemnify and hold harmless Sunwells and its employees and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your misuse of the services, violation of these Terms, or violation of applicable law.

14) Prohibited Uses

• Interfering with or disrupting the website or networks;
• Attempting to gain unauthorized access to systems or data;
• Engaging in unlawful, fraudulent, or harmful activities.

15) Governing Law; Disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflicts of law principles. The parties will first attempt to resolve disputes informally. If unresolved, and unless prohibited by law, disputes will be submitted to binding arbitration in Illinois on an individual basis. Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction.

16) Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new effective date. Your continued use of the services after changes become effective constitutes acceptance of the updated Terms.

17) General

• Severability: If any provision is unlawful or unenforceable, the remaining provisions remain in effect.
• No Waiver: Failure to enforce a provision is not a waiver of that provision.
• Assignment: You may not assign these Terms without our consent. We may assign them as permitted by law.
